Terms of service governing the deployment, licensing, SLA commitments, and technical support for SoftSys enterprise software products.
Effective Date: January 1, 2026 | Governing Jurisdiction: Karachi, Pakistan1. Acceptance of Terms & Scope of Service
By accessing, deploying, or utilizing software systems, modules, or API connectors developed by Software System Private Limited ("SoftSys"), your enterprise agrees to be legally bound by these Terms & Conditions.
These terms apply to all software subscriptions, custom module engineering, ERPNext installations, FBR POS integrations, and cloud infrastructure management agreements executed between SoftSys and the client entity.
2. Software Licensing & Usage Rights
- Enterprise License Grant: SoftSys grants the client a non-exclusive, non-transferable license to use the deployed ERP and software modules for internal business operations up to the user tier specified in your agreement.
- Prohibited Activities: Clients shall not reverse-engineer, decompile, resell, or sub-license SoftSys proprietary source code or cryptographic FBR signing algorithms.
- Client Data Ownership: The client retains 100% ownership of all master data, ledgers, inventory counts, and financial transaction records uploaded to the system.
3. Service Level Agreement (SLA) & Uptime Commitment
Scheduled maintenance windows are announced at least 48 hours in advance and executed during off-peak hours (between 2:00 AM and 5:00 AM PKT).
4. FBR Integration & Regulatory Disclaimers
SoftSys TaxSync engines interface directly with Federal Board of Revenue (FBR) servers:
- Payload Accuracy: The client is solely responsible for ensuring the factual accuracy of transaction prices, sales tax rates, and NTN numbers entered at POS counters.
- FBR Server Downtime: SoftSys provides an offline queue buffer that automatically signs and submits pending invoices as soon as FBR server connectivity is restored.
5. Payment Terms, Taxes & Invoicing
All software license invoices are issued in PKR (Pakistani Rupees) or agreed foreign currencies. License fees are subject to applicable taxes, including Withholding Tax (WHT) and provincial sales taxes (PRA, SRB, KPRA, BRA) as per Government of Pakistan tax codes.
6. Governing Law & Dispute Resolution
These Terms & Conditions are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any legal dispute, arbitration, or litigation arising out of or in connection with SoftSys services shall be subject to the exclusive jurisdiction of the Courts of Karachi, Pakistan.
